OPA de Tutanota a Alibaba?

No estoy muy puesto en bolsa pero tengo algunas acciones más que nada por tenerlas (porcentaje muy pequeño de mi cartera). Resulta que tengo acciones de Alibaba y justo hoy me llega un "mensaje seguro" de mi plataforma de inversión a mi email, que para leerlo me tengo que meter en su web con mi usuario y contraseña.

Al entrar me encuentro esto (marco en negrita una parte que me ha parecido curiosa, hay que tener en cuenta que el precio por acción a día de hoy, cuando ha llegado el mensaje, es de $98):

Tutanota LLC has announced that they intend to purchase shares in Alibaba Group ADR through a mini-tender offer. A mini-tender offer is an offer to buy less than 5 percent of the shares in circulation directly from shareholders. The offer will give you the choice to sell, or tender, your shares at a fixed price with no dealing charges.

Under the terms of the offer, you have the option to tender each of your shares to Tutanota LLC at a price of USD113, without interest and less any required withholding taxes. Your election may be subject to scaling back.

Tutanota LLC may keep the offer running indefinitely until Alibaba Group ADR share price is above USD113, with you being unable to cancel your instruction. If you elect to tender you shares, there is a chance your instruction could be held indefinitely.

The U.S. Securities & Exchange Commission (SEC) supplies a warning regarding Mini-tenders, which is as follows:

"Mini-tender" offers - tender offers for less than five percent of a company's stock - have been increasingly used to catch investors off guard. Many investors who hear about mini-tender offers surrender their securities without investigating the offer, assuming that the price offered includes the premium usually present in larger, traditional tender offers. But they later learn that they cannot withdraw from the offer and may end up selling their securities at below-market prices.

By inputting an election to tender your shares, you are confirming that (you have read the information in the above link and that) you have reviewed the warnings associated with this type of corporate action.

As outlined by the SEC release, both the offer price and any dates are speculative and subject to change.

O sea, que si lo he entendido bien, la empresa ésta (Tutanota) te ofrece comprar las acciones de BABA a $113, que es un 15% por encima del precio de mercado actual, con la condición de que la transacción se realizará cuando el precio de cierre de BABA esté por encima de esos $113 y que una vez dada la order no se puede cancelar y puede quedar ahí indefinidamente hasta que un día el precio de mercado supere el precio que te van a pagar

He mirado por internet y la tal Tutanota ha hecho algo similar con acciones de Intel, PayPal, Disney y otras empresas, las cuales han publicado notas en sus webs recomendando a sus inversores que rechacen la OPA. Me he quedado totalmente

Es decir, esta empresa se dedica a ofrecer tratos de compra en los que la otra parte se compromete a perder dinero en beneficio de ellos, básicamente

Supongo que es como un intento de estafa millonaria sólo que de forma legal. Hace la oferta usando un precio por encima del mercado en ese momento, comprometiéndose a pagar ese precio cuando el precio de mercado sea mayor y sin que te puedas echar a atrás una vez aceptas.

No sabía que esto existía. ¿Es esto algo normal o habitual?

El caso es que tengo que responder antes del día 24 diciendo si acepto o rechazo. Es como si te ofrecen comprarte tus billetes de 100 euros por 60 euros cada uno y tienes que responder formalmente si aceptas o rechazas. Me parece tan absurdo que hasta dudo si he entendido bien lo que es. ¿Alguien que me lo confirme por favor? Porque me parece un poco surrealista todo (ya digo que en bolsa estoy muy verde).
